Voting Results on Membership Dues Increase at our Annual Meeting and Luncheon, May 4th


Per our Bylaws, we had a vote of the membership present at the May Annual Meeting and Luncheon to raise our dues. A 2/3's vote was needed to pass an increase in General member dues from $40 to $50 per year as well as an increase of our Junior member dues from $5 to $10.

Of the 61 ballots turned in the count is as follows: General Membership Yes = 48 votes, No = 13 votes, 2/3 needed (40 votes) to pass.
General Membership is now $50 which takes effect upon renewal.
Junior Membership Yes = 38 votes, No = 20 votes and 2 were left blank, 2/3 needed (39 votes) to pass. Junior Membership remains at $5 per year (no increase).

PLEASE NOTE: THE DUES INCREASE IS IN EFFECT IMMEDIATELY FOR NEW MEMBERS. CURRENT MEMBERS' DUES WILL BE CHANGED WHEN YOU RENEW (renewals paid after 5/9/17).

SLATE OF OFFICERS FOR 2016-2017:


The nominating committee (Mary Ellen Koser, Margaret Goembel & Dawn Miller) presented the slate of candidates for the open Board of Directors and Officer positions at the March General Meeting as follows: Sara Shankland (Director at Large), Joe Montagnino (Director at Large) and Dorothy Napp Schindel (Recording Secretary). There are no opposing members running for any of the positions at this time. A vote will be taken at the April 6th General Meeting and the new Directors/Officers will be inducted at the May 4th Luncheon. See complete Bios below.

Sara Shankland's Bio:

My career in the fine arts has spanned many years beginning with two bachelors' degrees: BFA and BS in Ed. I have taught and worked in a variety of media but my medium of choice currently is Precious Metal ClayTM which is a unique clay-like material that lends itself it to a variety of techniques in jewelry making in Fine Silver.
I have been a member of the Art Club for over five years. I have served on the nominating committee, volunteered frequently at Art by the Sea, Art on the Island, and Art Trail. I have hosted two summer pot luck meetings and have brought food to every meeting I have attended.
I have been on the Art Trail twice and in Under the Oaks for the fourth year this March.

Joe Montagnino’s Bio:

I've been Woodturning since 1994 and I started with the Gold Coast Woodturners of Ft. Laurderdale. I served on their Board for four years and as President in 2002 and 2003. I later joined the American Association of Woodturners and have been a member there since 1995. I've been a member of Hollywood Artist Guild, Treasure Coast Woodturners and Space Coast Woodturners.
“Joe has co-chaired Art in the Park, chaired Art by the Sea, set up and take down for Art-Tini and Art on the Island plus a whopper of a job as grounds keeper for Under the Oaks.
He may be a bit over qualified but we welcome him anyway.”

Dorothy Napp Schindel’s Bio:
Dorothy, who hails originally from New York City and MA, worked for many years as a theater educator, director and scenic designer. She was artistic director of DramaMUSE Associates, a museum theater consultancy company that created drama based interpretive programs for major museums - such as the Metropolitan Museum of Art and the National Museum of the American Indian. She holds degrees in both Theater and Museum Leadership, is an award winning author, and in Massachusetts was the museum director of a one hundred year old historic quarry. She has been a board member of numerous arts and history organizations, and has served on the AOTI committee since its inception. Dorothy is a founding artist-owner of Gallery 14, where she is Manager of Publicity and Public Relations.

The slate will be announced at the March 2nd General Meeting and the floor will be open for other nominations at that time. A vote will be taken at the April 6th General Meeting and the new Directors will be inducted at the May luncheon. REQUIREMENTS: DIRECTOR AT LARGE DUTIES: VBAC By Laws

Shall attend each meeting of the BOD unless specifically excused by the Chairman.

Board meetings are the first Wednesday of each month in the Gonzales Room at the Museum of Art.

Shall participate in making all Corporate policies and shall be entitled to submit minority reports to the membership.

Three year term.

ELIGIBILITY REQUIREMENTS VBAC By Laws

*Any member of good standing (dues paid) and has completed 1 1/2 years of consecutive membership.

*May not be a Chair or Co chair of a standing Art Club committee.

*Computer literate.

*Team player willing to volunteer for some of the club activities.

*Year round resident.

RECORDING SECRETARY DUTIES: VBAC By Laws RECORDING SECRETARY: Shall keep all minutes of all business meetings and meetings of the BOD.

Shall the the custodian of the Corporate seal and shall maintain all corporate records in a manner consistent with the laws of the State of Florida.

Two year term.

ELIGIBILITY REQUIREMENTS

*Any member of good standing (dues paid) and must have completed 1 1/2 years of consecutive membership.

*May not be a Chair or Co chair of a standing Art Club committee.

*Computer literate

*Team player willing to volunteer for some of the club activities.

PROPOSED CHANGE TO BY LAWS:

ARTICLE I - MEMBERSHIP:

In order to further simplify and better clarify our system for membership for the Art Club, the board suggests the following change to ARTICLE I, section B, number 3:

3. Regular Membership - shall be paid with application for membership and thereafter shall become payable yearly on the date and month of last membership payment.

ARTICLE III - DUTIES OF OFFICERS AND DIRECTORS:

In order to simplify and better clarify our system for signature authority of officers and directors for the Art Club, the board suggests the following inclusion to ARTICLE III, section A, adding to number two:

2. President shall carry out all general business of the Corporation, including the signing of contracts and agreements, within the guidelines set by the Board of Directors and in accordance with the Articles of Incorporation and By-Laws; and may delegate to Standing Committee Chairs of Club shows the ability to sign contracts up to a maximum of $500. Contracts above $500 must be cosigned by the President.
ARITCLE IV - COMMITTEES:

In order to further simplify and better clarify our system for signature authority of chairman of committees for the Art Club, the board suggests the following inclusion to ARTICLE IV, section B, adding a fourth number:

4. Standing committee chairs may sign contracts up to a maximum of $500 for contractors and expenses of their committee. Contracts above $500 must be co-signed by the President.

Changes to these By-Laws will be voted on at the coming meeting, and are in compliance with the laws of the State of Florida applicable to corporations not for profit.
